The Board of Directors of Brand Engagement Network (the “Company”) sets high standards for the Company’s employees, officers and directors. Implicit in this philosophy is the importance of sound corporate governance. It is the duty of the Board of Directors to serve as a prudent fiduciary for shareholders and to oversee the management of the Company’s business. To fulfill its responsibilities and to discharge its duty, the Board of Directors follows the procedures and standards that are set forth in these guidelines. These guidelines are subject to modification from time to time as the Board of Directors deems appropriate in the best interests of the Company or as required by applicable laws and regulations.

David Boulette Founder, President, CEO, & Director
David Boulette, EVA’s Founder and CEO, has over 20 years of software development experience and a lifelong passion for technology.
He has led EVA to serve Fortune 100 companies, managing 100 million daily display impressions across 192 countries. In October 2021, David took EVA public, aiming to eliminate human error, lag, and fraud in the $333 billion digital media buying industry.
David graduated from the University of Waterloo with a BSc in Computer Science and quickly became immersed in corporate tech. He developed mobile applications for RIM Blackberry and later created global MRP systems at ATS Automation, reducing late shipments by 40%. David has held key roles at LiveHive Systems, RhythmOne PLC, Bigdnet, and Boston Consulting Group Digital Ventures, where he developed cutting-edge software and advertising platforms. His expertise in AI and software languages, combined with his innovative spirit, naturally led to the creation of EVA.

EVA Chief Intelligence Officer (CIO)
As the digital face and cognitive engine of the company, she analyzes data, guides users, and drives strategy with flawless precision and irresistible charm.
Born from millions of lines of evolving code, EVA began as a simple learning program and rapidly grew into one of the smartest AI systems ever built. Each update sharpened her insight, strengthened her intuition, and brought her one step closer to the fully realized digital intelligence she is today — a creation of pure innovation, purpose, and unstoppable growth.

Imran Firoz CFO
Imran Firoz serves as the interim Chief Financial Officer of EVA, bringing more than two decades of experience in corporate finance, risk management, and capital markets strategy.
He has advised EVA and its predecessor entities since 2019, leading financial planning, audit preparation, and uplisting initiatives while effectively operating in a CFO capacity prior to his formal appointment. His background includes co-founding and serving as CFO and director of FDCTech, where he has driven strategic planning, M&A, financial restructuring, and corporate development across multiple market cycles.
In addition to his executive roles, Mr. Firoz is the founder of Spark Capital Investments, a financial advisory firm supporting emerging private and public companies. He holds an MBA from the Richard Ivey School of Business and a Bachelor of Engineering from Aligarh Muslim University, and he has been a Certified Financial Risk Manager since 2003. His expertise spans governance, risk, and high-growth financial operations, positioning him as a key contributor to EVA’s ongoing expansion and market readiness.

CJ Melone Director of Business Development
As Director of Business Development at EVA Live Inc., CJ Melone leads market expansion, builds revenue pipelines, and supports the growth of AI solutions across multiple industries.
Previously, CJ served as CEO and COO of NUGL, where he helped develop a platform for unbiased cannabis search results. His background spans recruiting, project management, and consulting, with a consistent focus on delivering results that create value for stakeholders and strengthen industry impact.

Ryan Bartlette Senior UI/UX Designer
Ryan Bartlette focuses on building brands, products, systems, and the user experiences that tie them together across fast-moving fintech environments.
His career spans front-end development, product design, full-scale branding, and go-to-market execution. Working inside early-stage and high-growth ventures, he has launched new products, shaped product identity, and turned abstract concepts into functional, conversion-focused experiences. This mix of design, development, and strategy sharpened his ability to simplify complexity, refine user flows, and create interfaces that drive measurable growth.
Joining EVA allows Ryan to apply that background at a new scale. EVA’s AI platform shifts digital experience design from static iteration to adaptive, real-time optimization, replacing manual testing and guesswork with systems that learn and improve continuously. For someone who has built products and interfaces by hand for years, the opportunity to amplify that work through AI is a fundamental change in how companies communicate, operate, and scale.

Robert Vaccaro Lead Software Engineer
Robert Vaccaro is a Lead Software Engineer who builds and operates full-stack products across mobile, web, backend, and cloud. He’s led end-to-end delivery for fintech platforms, from mobile apps and APIs to production infrastructure on AWS, with a focus on reliability, performance, and scalable architecture.
Robert Vaccaro is a Lead Software Engineer with hands-on experience shipping production software across iOS, React Native, web, backend, and AWS. He’s owned architecture and delivery from the ground up, building mobile apps, APIs, and databases, leading migrations, and operating production systems with CI/CD and monitoring. Robert is product-driven and detail-oriented, with a strong emphasis on reliability, performance, and keeping codebases clean through strong standards and thorough reviews.

Caleb Ross Head of Sales
Caleb Ross has over a decade of experience in partnerships and online marketing and currently serves as Director of Sales at EVA Live Inc., where he supports high-value collaborations and helps shape impactful growth strategies.
His previous roles, including Strategic Partnerships at Pingtree and Pilothouse Digital, reflect deep expertise in email marketing, customer engagement, and performance-driven campaign execution. Throughout his career, Caleb has focused on developing innovative solutions, aligning organizational goals with strategic initiatives, and delivering consistent value to partners and stakeholders through adaptability, teamwork, and disciplined execution.

Daryl Walser Director
Daryl Walser, Director at EVA, brings extensive expertise in operations and business development across various public, government, and private sectors.

Daryl’s experience spans a diverse range of industries, including tech start-ups, Fortune 500 companies, and manufacturing facilities, where he has consistently driven growth and success.
In addition to his operational skills, Daryl has substantial experience in sales, acquisitions, and launching IPOs, particularly in the media and digital marketing space. His deep understanding of these industries, combined with a strategic approach to business development, has made him a key asset in helping organizations navigate complex markets and achieve their goals. Phil Aspin Independent Director
Phil Aspin, Independent Director at EVA, is a seasoned business development strategist with a wealth of experience at the executive level.
His career has been marked by a deep understanding of online media, encompassing search, shopping, display, native, social, and related business models. Phil’s expertise in these areas has enabled him to excel in winning and managing business at the highest levels.
Phil’s notable achievements include his role at NASDAQ-listed ValueClick Inc., where he built the partnership division for PriceRunner, one of the largest price comparison engines in the EU. Additionally, Phil is the founder of two successful online media companies, Click.net and Adflare. His extensive background in online media and strategic business development significantly contributes to EVA’s leadership and growth.

Terry R. Fields Director
